Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ChequeFlow PH at
check.arcoute.com (the “Service”), operated by
Arcoute, a sole proprietorship registered with the Department of Trade and Industry
(DTI) of the Republic of the Philippines, with principal address at Candon City, Ilocos Sur 2710,
Philippines (“ChequeFlow”, “we”, “us”, or “our”). Our
Privacy Policy forms part of these Terms.
Your acceptance (please read). By ticking “I agree” and creating an account, or by
using the Service, you agree to these Terms and to the Privacy Policy. This is an electronic agreement
that is valid and enforceable under the Electronic Commerce Act of 2000 (Republic Act No.
8792). We keep a record of your acceptance — the version you agreed to, the date and time
(Asia/Manila), your IP address, and your browser/device — as evidence of this agreement. If you do not
agree, do not use the Service.
Beta notice. ChequeFlow is currently free while we’re in beta — no
payment method is required and no charges are made. Sections 4–6 (Free trial; Subscriptions, fees &
auto-renewal; Cancellation & refunds) describe the paid subscription terms and are
suspended until paid plans resume, at which point they will apply on a going-forward
basis with notice.
1. The Service (what it is, and is not)
ChequeFlow is a software tool that helps you prepare and print payment details — payee, amount, date,
and similar fields — onto the official cheque leaves issued to you by your own bank, and helps you keep
records of those payments. It runs validation checks intended to align with Philippine Clearing House
Corporation (PCHC) image-based clearing rules.
- ChequeFlow is software only. It is not a bank, financing company,
e-money issuer, payment institution, or financial institution; it does not hold, receive,
transmit, or disburse your funds, and it does not issue, guarantee, endorse, honour, or clear any
cheque.
- ChequeFlow is not a “financial product or service” under the Financial Products
and Services Consumer Protection Act (RA 11765) and is not supervised by the Bangko Sentral ng
Pilipinas (BSP), and it is not a covered person under the Anti-Money Laundering Act (RA 9160, as
amended).
- ChequeFlow does not provide legal, tax, accounting, or financial advice.
- ChequeFlow never renders MICR lines, full bank account numbers, or blank-cheque artwork.
2. Eligibility and accounts
You must be at least 18 years old and authorised to act for your business. You are responsible for the
accuracy of your registration details, for keeping your login credentials confidential, and for all
activity under your account. Notify us immediately of any unauthorised use.
3. Your responsibilities
- Use only genuine cheque leaves that lawfully belong to you or your organisation.
- You are the drawer of every cheque. You alone are responsible for reviewing and
verifying each cheque — amount, payee, date, spelling, crossing, and alignment — before issuing it,
and for ensuring sufficient funds. ChequeFlow does not control and is not responsible for whether a
bank accepts, honours, or clears a cheque, or for any consequence under Batas Pambansa Blg. 22 or the
Negotiable Instruments Law.
- Keep your credentials secure and ensure everyone you authorise uses the Service lawfully.
- Do not use the Service for fraud, forgery, money laundering, or any unlawful purpose, and comply
with all applicable Philippine laws and your bank’s rules.
- You are responsible for the personal data of third parties (e.g. payees) that you enter — see the
Privacy Policy.
4. Free trial
- New customers may start a 3-day free trial on any plan. The trial is available
once per customer/workspace.
- A valid payment method (via PayPal) is required to start the trial. You will not be charged
during the 3-day trial.
- Unless you cancel before the trial ends, the trial automatically converts to a paid monthly
subscription at the plan price then shown (currently ₱199, ₱499, or ₱799 per month
depending on the plan), and the first charge is made at the end of the trial. You may cancel anytime
during the trial to avoid any charge (see section 6).
- We disclose the trial length, the price after the trial, and the renewal cadence before you
subscribe, and you affirmatively consent to them at checkout.
5. Subscriptions, fees & auto-renewal
- Paid plans are billed in advance each monthly period at the price shown at purchase, in Philippine
pesos. As a non-VAT (percentage-tax) seller, our prices are tax-inclusive and we do not add 12% VAT.
- Your subscription renews automatically. After any free trial, the
subscription continues and renews automatically each month through our payment provider (PayPal),
and your chosen payment method is charged the then-current price, until you cancel. By subscribing,
you authorise these recurring charges.
- If a renewal payment fails, PayPal may retry; access may become read-only after a short grace
period until payment succeeds or the subscription is cancelled.
- Plan changes: to move to a different tier, cancel your current subscription and
subscribe to the new plan.
6. Cancellation & refunds
- Cancel anytime from the Billing screen (Manage subscription → Cancel auto-renew),
with no cancellation fee. Cancellation stops future automatic renewals. Cancelling during the free
trial prevents any charge.
- When you cancel a paid subscription, you keep access through the end of the period you have already
paid for; the subscription is not renewed afterwards.
- Except where a refund is required by law, fees already paid for a current or past period are
non-refundable, and we do not provide pro-rated refunds for the unused portion of a
paid period. This is possible because cancellation, auto-renewal, and pricing are clearly disclosed
and consented to before any charge.
- Your statutory rights remain. Nothing here removes any non-waivable right or
remedy you may have under the Consumer Act of the Philippines (RA 7394), the Internet Transactions
Act of 2023 (RA 11967), or other applicable law. If you were charged without adequate disclosure or
valid consent, contact us and we will make it right.
7. Taxes & invoices
Arcoute is a non-VAT taxpayer subject to percentage tax. For each subscription payment we issue a
BIR-registered Non-VAT Invoice as the primary tax document (per the Ease of Paying
Taxes Act, RA 11976, and Revenue Regulations No. 7-2024); no VAT is charged and the invoice carries the
required non-VAT statements. Your invoices are available anytime from the Billing screen.
8. Service availability
We aim to keep the Service available and provide it using commercially reasonable efforts, but we do
not guarantee that it will be uninterrupted, timely, secure, or error-free. We may perform maintenance,
and change, suspend, or discontinue features where reasonably necessary to protect the Service, our
users, or to comply with law.
9. Acceptable use
You agree not to: (a) use the Service unlawfully or to facilitate fraud, forgery, or money laundering;
(b) attempt to gain unauthorised access to, disrupt, overload, reverse-engineer, or circumvent the
security of the Service; (c) upload malware or infringing content; (d) resell or provide the Service to
third parties except for your own authorised users; or (e) use the Service in any way that violates the
rights of others. We may suspend access for conduct that breaches this section.
10. Intellectual property & your data
The Service — including its software, design, and content — is owned by Arcoute and protected by
Philippine and international intellectual-property laws. You receive a limited, non-exclusive,
non-transferable, revocable right to use the Service for your business while your subscription is active.
The data you enter remains yours. You grant us only the limited rights needed to host
and process your data to provide the Service and as described in the Privacy Policy.
11. Third-party services & force majeure
The Service relies on third parties (e.g. PayPal for payments, Hostinger for hosting, and an email
provider). We are not responsible for acts, omissions, outages, or charges of these providers or of your
bank. We are not liable for any failure or delay caused by events beyond our reasonable control,
including acts of God, calamities, power or internet failures, third-party provider failures,
government actions, or labour disturbances (Civil Code Art. 1174).
12. Disclaimers
To the maximum extent permitted by Philippine law, the Service is provided “as
is” and “as available,” without warranties of any kind, whether express, implied, or statutory,
including any implied warranties of merchantability, fitness for a particular purpose, and
non-infringement. Without limiting the above, we are not responsible for misprints, clearing
rejections, bounced or dishonoured cheques, or losses arising from information you enter, your equipment,
printers, or cheque leaves, your bank’s actions, or your failure to verify a cheque before issuing it.
This section does not exclude any warranty or right that cannot be excluded under the Consumer Act
(RA 7394) or other applicable law.
13. Limitation of liability
To the maximum extent permitted by Philippine law:
- We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive
damages, or for loss of profits, revenue, goodwill, data, or business, however caused.
- Our total aggregate liability arising out of or relating to the Service or these Terms will not
exceed the total subscription fees you actually paid to us for the Service in the twelve (12) months
immediately before the event giving rise to the claim.
Carve-outs — what these limits do NOT cover. Nothing in these Terms excludes or
limits liability that cannot be excluded or limited under Philippine law. In particular, the
disclaimers and limits above do not apply to: (a) fraud or wilful misconduct (Civil
Code Art. 1171); (b) gross negligence or bad faith (Civil Code Arts. 1172–1173); (c) death or personal
injury caused by negligence; (d) your non-waivable rights and our mandatory duties under the Consumer
Act (RA 7394) and the Internet Transactions Act (RA 11967); (e) our obligations and your rights under
the Data Privacy Act (RA 10173); or (f) any other liability that applicable law does not allow to be
limited. Savings clause: if any limitation in these Terms is held unenforceable, it
applies only to the maximum extent permitted by law, and the remainder stays in effect.
14. Indemnity
To the extent permitted by law, you will indemnify and hold harmless Arcoute from third-party claims,
losses, and reasonable expenses arising from: (a) your misuse of the Service; (b) your breach of these
Terms or of law; (c) the content or personal data you upload, including payee data; or (d) cheques you
prepare, issue, or fail to verify. We will notify you of any such claim and you may participate in its
defence. This indemnity does not apply to the extent a loss results from our own fraud, bad faith, or
gross negligence.
15. Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or terminate access
for breach of these Terms or unlawful use, giving notice where practicable. On termination, your right
to use the Service ends; you may export your data beforehand where the Service provides that option.
Sections that by their nature should survive — including billing for amounts due, intellectual property,
disclaimers, limitation of liability, indemnity, and governing law — survive termination.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with a revised “last
updated” date and, where appropriate, communicated to you. Continued use after changes take effect
constitutes acceptance of the updated Terms; if you do not agree, stop using the Service and cancel.
17. Governing law & dispute resolution
These Terms are governed by the laws of the Republic of the Philippines. We encourage you to contact
us first so we can try to resolve any concern. You may also use available consumer-redress channels,
including the DTI and its online dispute resolution mechanism under the Internet Transactions Act
(RA 11967) for consumer/online-transaction matters, and the National Privacy Commission for data-privacy
matters. Subject to your non-waivable rights and any mandatory venue rules that protect
consumers, any dispute that cannot be resolved amicably shall be brought before the proper courts of
Candon City, Ilocos Sur, Philippines.
18. General
- Severability & savings: if any provision (including any limitation of
liability) is held invalid or unenforceable, it applies only to the maximum extent permitted by law,
and the remaining provisions stay in full effect.
- Entire agreement: these Terms and the Privacy Policy are the entire agreement
between you and us about the Service and supersede prior understandings.
- No waiver: our failure to enforce a provision is not a waiver of it.
- Assignment: you may not assign these Terms without our consent; we may assign them
in connection with a transfer of the business.
- Electronic communications: you consent to receive notices and communications from
us electronically.
